Heleen acts for leading domestic and international clients, both listed and private. She specialises in advising on complex private M&A transactions and public takeovers of listed companies. She has extensive experience in advising both targets and bidders in both friendly and hostile takeovers.
Recent transactions include advising
- Knab on the proposed sale of Knab by ASR Nederland to the Austrian Bawag Group,
- Ordina on the public offer by Sopra Steria for Ordina,
- Ten Cate on the public offer for Hydrated Industries,
- 3G Capital on the acquisition of the listed company Hunter Douglas,
- Vereniging Aegon on the sale by the listed company Aegon of its Dutch business to Asr, and
- a consortium led by Mitsubishi on the acquisition of Eneco, sold by its municipal shareholders.
She also advised on the public offers for Akzo Nobel, PostNL, Super de Boer, Wavin, TeleAtlas, Kempen, Endemol, Grolsch, Ballast Nedam and Axa Stenman Industries.
Heleen and Valérie van ‘t Lam are co-chairs of the Stibbe ESG & Sustainability focus group, a cross-practice team bringing together Stibbe's experts in order to provide clients with guidance and advice on all legal aspects of ESG and sustainability matters.
From 2008 to 2013, Heleen held the position of Managing Partner in Amsterdam while remaining active in her areas of expertise. She also practiced with Davis Polk in New York.
Heleen holds a master's degree in Dutch law and a master's degree in tax law, both from the University of Leiden. She has published articles on mergers and acquisitions and corporate governance.
