Stibbe advises Proximus on the sale of its datacentres business to Datacenter United

Stibbe advised the Belgian-listed company Proximus, a leading provider of digital services and communication solutions in Belgium and international markets, on the sale of its datacentres business to Datacenter United for an enterprise value of €128 million and on the long-term services contract whereby going forward, Datacenter United will provide colocation and datacentre services to the Proximus Group for a period of at least 10 years.

The transaction is structured as a transfer of branch of activity and a partial demerger into a newly incorporated entity. Pursuant to the completion of this transaction, Datacenter United (DCU Invest) has acquired 100% of the shares in this newly incorporated entity. Datacenter United is in turn owned by TINC, Cordiant Digital Infrastructure Limited and Friso Haringsma.

The sale of Proximus’ datacentres business includes four datacentres around Brussels at three sites including real estate, infrastructure, supplier contracts, and the majority of the housing customer contracts. This transaction aligns with Proximus’ strategic asset divestment plan, monetising assets to reinvest in its core activities such as fiber and 5G, enabling the company to focus on delivering high-quality IT integration services while ensuring customers continue to benefit from state-of-the-art infrastructure.
