Stibbe advises FL Entertainment, a global leader in independent content production and fastest-growing online sports betting platform in Europe through its Banijay Group and Betclic Everest Group businesses, on its business combination with Pegasus Entrepreneurial Acquisition Company Europe B.V. (Pegasus Entrepreneurs), a SPAC listed on Euronext Amsterdam, pursuant to which FL Entertainment will become a public company with an initial enterprise value of €7.2 billion – the largest business combination by a European-listed SPAC.
The transaction provides the FL Entertainment Group with the opportunity as a public company to further growth and the extensive consolidation opportunities for its two businesses Banijay and Betclic. Pegasus Entrepreneurs is a special purpose acquisition company (''SPAC'') focused on European growth companies. Upon closing of the transaction, the combined company will be named FL Entertainment.
