Sarah De Wulf, junior TMT associate, discusses SAP licensing agreements during a Beltug seminar on 20 February 2019. Many of the Beltug members are customers of SAP and face daily questions and challenges regarding SAP's software licensing policies. These questions include (among others): how the licence models will evolve (especially in terms of the growth of cloud services) and how to cope with indirect access.

SAP licensing agreements entail certain ‘typical’ challenges for customers, including unclear or inconsistent wording, and undefined or even unilaterally redefined key concepts. In addition, reconstructing the documents that make up the contract can be a nightmare. Rapidly revolving revised versions of general terms and conditions, price lists and usage descriptions further add to the confusion. What are the legal ramifications of these various issues? And more importantly, how can we turn these apparent weaknesses into strengths? These and related aspects will be discussed in an interactive way and on the basis of case studies.
